Terms of Service

1. Agreement to Terms

By accessing or using Solo Director ("Service"), you agree to be bound by these Terms of Service. If you disagree with any part of these terms, you may not access the Service.

2. Eligibility

You must be at least 18 years of age to use the Service. By using the Service, you represent that you meet this requirement. If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization to these terms.

3. Account and Security

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must notify us immediately of any unauthorized use of your account.

4. Use of the Service

We grant you a limited, non-exclusive, non-transferable license to access and use the Service for your personal or internal business purposes. You agree not to:

  • Use the Service for any illegal purpose or in violation of any laws
  • Attempt to gain unauthorized access to the Service or its related systems
  • Reverse engineer, decompile, or disassemble the Service
  • Resell, sublicense, or commercially exploit the Service without our permission
  • Upload content that infringes intellectual property rights or violates third-party rights
  • Use the Service to generate content that is harmful, defamatory, or otherwise objectionable

5. Your Content

You retain ownership of content you create, upload, or generate using the Service ("Your Content"). By using the Service, you grant us a license to store, process, and display Your Content as necessary to provide the Service.

You represent and warrant that you own or have the necessary rights, licenses, and permissions to upload and use Your Content. You agree not to upload, generate, or share any content that:

  • Infringes any third party's copyright, trademark, patent, trade secret, or other intellectual property rights
  • Is defamatory, libelous, abusive, threatening, harassing, or hateful
  • Contains or promotes violence, self-harm, illegal acts, or sexually explicit material
  • Contains malicious code, viruses, or harmful software
  • Violates the privacy or publicity rights of any third party

We may remove or disable Your Content if we believe it violates these terms or applicable law.

6. AI-Generated Content

The Service uses artificial intelligence to generate images, audio, and other content. AI-generated output may be inaccurate, incomplete, offensive, unavailable, infringing, or otherwise unsuitable for your intended use. We make no representations or warranties regarding the quality, accuracy, legality, originality, non-infringement, or fitness of AI-generated content for any particular purpose. You are solely responsible for reviewing, verifying, and determining whether any AI-generated content is appropriate for your use and complies with applicable laws, third-party rights, and your intended use.

7. Payment and Billing

Our order process and payment processing is conducted by our Merchant of Record, Polar. They handle all invoicing and payment transactions. Paid plans and credit purchases are billed according to the pricing displayed at the time of purchase. Credit purchases are non-refundable except as required by applicable law or as explicitly stated in our refund policy. Unless otherwise stated at the time of purchase, purchased credits expire three (3) months after the purchase date, and any unused credits are forfeited upon expiration. We may change our pricing with reasonable notice.

8. Termination

We may suspend or terminate your access to the Service at any time for violation of these terms or for any other reason. You may terminate your account at any time. Upon termination, your right to use the Service ceases immediately.

9. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE, ANY FEATURE, OR ANY CONTENT WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, ACCURATE, COMPLETE, OR AVAILABLE AT ANY PARTICULAR TIME, OR THAT ANY CONTENT WILL NOT BE LOST, CORRUPTED, DELAYED, OR ALTERED.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY. OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE MONTHS PRECEDING THE CLAIM.

11. Indemnification

You agree to defend, indemnify, and hold harmless Solo Director, its operators, and service providers from and against any claims, liabilities, damages, losses, and expenses, including reasonable legal fees, arising out of or in any way connected with your access to or use of the Service, Your Content, or your violation of these Terms.

12. Copyright Policy

We respect the intellectual property rights of others. If you believe that content on our Service infringes your copyright, please contact us at info@solo-director.xyz with a detailed notice that complies with the Digital Millennium Copyright Act (DMCA). Your notice must include: (1) a physical or electronic signature of the copyright owner or authorized agent; (2) identification of the copyrighted work claimed to have been infringed; (3) identification of the material that is claimed to be infringing and where it is located on the Service; (4) your contact information; (5) a statement that you have a good faith belief that use of the material is not authorized by the copyright owner; and (6) a statement, made under penalty of perjury, that the information in the notice is accurate and you are authorized to act on behalf of the copyright owner.

13. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of Israel, without regard to its conflict of law provisions. Any legal action or proceeding arising under these Terms will be brought exclusively in the competent courts of Tel Aviv, Israel, and the parties hereby irrevocably consent to the personal jurisdiction and venue therein.

YOU AND SOLO DIRECTOR AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, CONSOLIDATED, OR REPRESENTATIVE PROCEEDING.

14. Changes

We may modify these terms at any time. We will notify you of material changes by posting the updated terms on this page and updating the "Last updated" date. Your continued use of the Service after changes constitutes acceptance of the modified terms.
